TERMS AND CONDITIONS
These Terms & Conditions (“Terms”) govern your access to and use of the websites, chatbots, booking pages and any other online or offline services (collectively, the “Services”) provided by Kaleidoscope, a counselling practice for K‑10 students that is owned and operated by Agami Ventures
LLP (GST 27ABBFA0974H1ZK) (“Kaleidoscope”, “we”, “our”, “us”). By accessing or using any part of the Services you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please discontinue use immediately.
1. SCOPE OF THE SERVICES
The Services include, but are not limited to:
● the website www.kaleidoscopek10.in and any sub‑domains (the “Site”);
● the Kaleidoscope WhatsApp Business chatbot;
● Calendly pages used to schedule consultations; and
● emails, SMS, phone calls, webinars, in‑person events and any other materials we publish or distribute.
These Terms do not govern the separate service agreement you may sign for paid counselling sessions—that relationship is governed by the written engagement you accept at the time of purchase.
2. ELIGIBILITY & PARENTAL RESPONSIBILITY
The Site is directed at parents and legal guardians, not at children under 13. By using the Services you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal authority to bind any minor on whose behalf you use the Services. You are solely responsible for the accuracy of information you submit about yourself and your child.
3. ACCEPTANCE OF TERMS & UPDATES
● Your continued use of the Services constitutes your acceptance of these Terms as they exist at the time of use.
● We may modify these Terms at any time at our sole discretion. Material changes will be posted on this page with a revised “Last updated” date.
● If you object to any revision, your sole remedy is to cease using the Services.
4. USER OBLIGATIONS & PROHIBITED CONDUCT
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
● Violate any applicable law, regulation or third‑party right (including intellectual‑property and privacy rights).
● Impersonate any person or entity, or misrepresent your affiliation.
● Upload, transmit or distribute content that is unlawful, defamatory, obscene, harassing, hateful, invasive of another’s privacy or otherwise objectionable.
● Introduce viruses, malware or other harmful code or interfere with the security or integrity of any network or system.
● Scrape, crawl, data‑mine or harvest content from the Site by automated or manual means without our prior written consent.
● Use the Services to send uninvited commercial messages (spam).
● Engage in any activity that imposes an unreasonable load on our infrastructure or that otherwise attempts to disrupt the proper working of the Services.
We reserve the right to suspend or terminate access for any user who breaches these obligations.
5. POSTING GUIDELINES
● Where comments, message boards or interactive features are available you must:
● post only content you have the right to share;
● refrain from publishing personal data of others without consent;
● avoid material that infringes any copyright, trademark or proprietary right; and
● comply with all additional rules or guidelines we publish for those areas.
We do not undertake to prescreen user content, but we reserve the right to remove or edit any content at our discretion.
6. EXTERNAL LINKS & THIRD‑PARTY TOOLS
The Services may contain links to external websites or may integrate third‑party tools (such as WhatsApp, Calendly, Google Workspace, payment gateways). We provide these links and integrations for convenience only. We have no control over, and are not responsible for, the content, privacy
practices or performance of third‑party sites or services. Access them at your own risk.
7. INTELLECTUAL PROPERTY
All text, graphics, logos, audio, video, software code and other material on the Services are either owned by or licensed to Kaleidoscope and are protected by Indian and international intellectual‑property laws.
We grant you a limited, non‑exclusive, non‑transferable licence to view and use the content solely for your personal, non‑commercial purposes. Any other use (including reproduction, distribution, public display, modification, reverse engineering or creation of derivative works) requires our prior written
consent.
We respect the intellectual‑property rights of others. If you believe any content infringes your rights, notify us at support@kaleidoscopek10.in with supporting evidence.
8. PRIVACY
Our collection, use and protection of personal information are governed by our Privacy Policy, whichis incorporated into these Terms by reference.
9. SCHEDULING, PAYMENTS & NO PROFESSIONAL‑LIABILITY
● Consultations are booked through Calendly on a first‑come, first‑served basis. You are responsible for providing accurate contact details.
● Fees (where applicable) must be paid in full at the time of booking via our authorised payment gateway.
● Counselling sessions provide educational guidance; they are not psychological therapy or legal, medical or financial advice. Decisions based on our guidance remain solely your responsibility.
10. DISCLAIMER OF WARRANTIES
The Services are provided “as is” and “as available”. To the fullest extent permitted by law, Kaleidoscope disclaims all warranties, express or implied, including warranties of accuracy, fitness for a particular purpose and non‑infringement. We do not warrant that the Services will be uninterrupted, timely, secure or error‑free, or that any defects will be corrected.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Kaleidoscope, Agami Ventures LLP and their officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill or other intangible losses, arising out of or related to:
● your use of or inability to use the Services;
● any conduct or content of any third party on the Services;
● any unauthorised access, use or alteration of your transmissions or content.
Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid us (if any) for the relevant Service in the twelve months preceding the event giving rise to liability.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, liability is limited to the maximum extent permitted by law.
12. INDEMNIFICATION
You agree to indemnify, defend and hold harmless Kaleidoscope, Agami Ventures LLP and their affiliates, directors, officers, employees and agents from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with:
● your breach of these Terms;
● your misuse of the Services; or
● your violation of any law or the rights of a third party.
13. MODIFICATION & TERMINATION
● We may update, suspend or discontinue any aspect of the Services (including access to the Site) at any time without liability.
● We may terminate or suspend your access immediately, without notice, if you breach these Terms or if required by law.
● All provisions that by their nature should survive termination (intellectual‑property rights, disclaimers, limitation of liability, indemnities, governing law) shall continue in effect.
14. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of India, without regard to conflict‑of‑law principles. You agree that the courts in Mumbai, Maharashtra, shall have exclusive jurisdiction over all disputes arising under or in connection with these Terms or the Services.
15. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any additional agreements you enter into with Kaleidoscope, constitute the entire agreement between you and us regarding the Services and supersede all prior understandings.
